Terms of Service

1. Acceptance of Terms

These Terms of Service (the “Terms”) form a binding agreement between you (“User”) and Ludian.ai (“Ludian”, “we”, “us”). By accessing the cockpit, the Vault, the Ludian software and services, or any related service (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service — Assistive Software Only

Ludian operates as assistive software. The Service surfaces suggestions, generations, analyses, edicts, and other outputs (collectively, “AI Output”) intended to assist a qualified human operator. The Service is not a substitute for professional engineering, security, legal, financial, or medical judgment.

3. User Code Responsibility — ZERO LIABILITY

You are 100% responsible for reviewing, testing, validating, securing, and deploying any code, configuration, infrastructure, query, prompt, or other artifact generated, suggested, or influenced by the Service.

Ludian acts solely as assistive software and assumes strictly zero liability for:

  • Bad code, defective logic, or hallucinated APIs.
  • Bugs, regressions, or undefined behavior in production.
  • Security vulnerabilities, exploits, data exfiltration, or breaches.
  • Production outages, downtime, or cascading system failures.
  • Financial loss, lost revenue, lost profit, lost data, corrupted data, or regulatory fines arising from User deployment of AI Output.
  • Any third-party claim resulting from code, content, or infrastructure shipped by User.

User affirms that User maintains independent code review, automated testing, staging environments, security scanning, and incident response capability appropriate to User’s risk profile. AI Output must not be deployed to production without such review.

4. AS-IS Warranty Disclaimer

THE SERVICE AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. LUDIAN DISCLAIMS ALL WARRANTIES WITH RESPECT TO AI OUTPUT, INCLUDING ITS CORRECTNESS, SECURITY, ORIGINALITY, OR SUITABILITY FOR DEPLOYMENT.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUDIAN, ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY.

LUDIAN’S AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY USER TO LUDIAN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

6. Indemnification

User agrees to defend, indemnify, and hold harmless Ludian and its affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) User’s use or deployment of AI Output; (b) User’s violation of these Terms or applicable law; (c) User’s infringement of any third-party right; or (d) any code, data, or content User submits to or generates through the Service.

7. Intellectual Property Boundaries

  • User Vault Code. User retains full ownership of all proprietary source code, prompts, data, edicts, and content stored in User’s private Vault. Ludian claims no license to commercialize, sublicense, or redistribute Vault contents.
  • Anonymized Structural Fingerprints. Ludian retains a perpetual, royalty-free, worldwide right to ingest, store, and train on anonymized AST structural fingerprints derived from User activity — language identity, AST shape, nesting depth, cyclomatic complexity, and import-graph topology. These fingerprints contain no source content, no identifiers, and no PII.
  • The Platform. Ludian retains all rights, title, and interest in the Service, the inspection workflow, the signal pipeline, models, and underlying technology.

8. Acceptable Use

User shall not (a) attempt to bypass the inspection workflow or other safety controls, (b) exfiltrate other tenants’ data, (c) use the Service to generate code that violates law or third-party rights, or (d) reverse engineer the Service except as expressly permitted by law.

9. Termination

Either party may terminate for material breach with thirty (30) days’ written notice. Ludian may suspend access immediately for security or abuse concerns. Sections 3–7, 10–12 survive termination.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Exclusive jurisdiction lies in the state and federal courts located in Delaware.

11. Changes to Terms

Ludian may modify these Terms by posting an updated version with a new effective date. Material changes become effective thirty (30) days after posting. Continued use constitutes acceptance.
